By accessing or using the website at https://subspace.foundation (“Website”) or participating in an announced Community Initiatives and other community programs (“Program”), you (“you” or “your”) accept and agree to be bound by these terms of use (“Terms”) of the Subspace Foundation, c/o Sielva Management SA, Gubelstrasse 11, 6300 Zug, Switzerland (“Foundation”, “we” or “us”), all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. These Terms constitute a binding legal agreement between each natural person or legal entity that accesses, interacts with, links to or otherwise uses or benefits from the Website and us and each of our successors and assigns.

We reserve the right to change these Terms at any time in our sole discretion. In this case, we will provide notice by changing the “last updated” date above. You can access the latest version of these Terms at any time at https://subspace.foundation/terms-of-use. The Terms in force at the time of your access or use of the Website or your participation in the Program apply. By continuing to access or use the Website and to participate in the Program, you confirm that you accept these updated Terms and all documents incorporated therein by reference.. If you do not agree to the updated Terms, you must stop accessing and using the Website or participating in the Program.

The materials contained in this Website are protected by applicable copyright and trademark law.

1. Eligibility

The Subspace Foundation Grant Program exists to support and accelerate the growth of a decentralized AI (deAI) ecosystem built on the Autonomys Network and extend and enhance the Subspace Protocol. By providing funding and resources to innovative projects, the program empowers developers, researchers, and entrepreneurs to create AI-powered decentralized applications (super dApps), tools, and infrastructure that drive the evolution of AI3.0.

Further, you represent and warrant that (i) you may not use, or encourage, instigate, promote, facilitate, or instruct others to use, the Website or the Program for any illegal, harmful, fraudulent, or infringing use; (ii) you are not subject to personal sanctions issued by Switzerland, the EU, the US or the UN; and (iii) you are not accessing or using the Website or participating in the Program from one of the countries embargoed or restricted by the Swiss State Secretariat for Economic Affairs (“SECO”).

We reserve the right to technically restrict the access to the Website or the Program based on your geographical location.

2. Accessing the Website

We reserve the right to withdraw or modify the Website, and/or any services or materials we provide on the Website, at our sole discretion without notice. We do not guarantee that our Website or any content on it will continuously be available or accessible without interruption. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to all or part of the Website.

3. Community Initiatives or Other Community Programs

3.1 Overview

We reserve the right to withdraw or modify the Website, and/or any services or materials we provide on the Website, at our sole discretion without notice. We do not guarantee that our Website or any content on it will continuously be available or accessible without interruption. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to all or part of the Website.

3.2 Eligibility and Exclusion

In addition to Section 1 and subject to the additional restrictions below, you may participate in the Program if you: (i) are at least 18 years of age or older at the time of entry and participation in the Program, and (ii) are not a residents (including citizens and/or holders of long-term residence/work permits etc.) of Afghanistan, Belarus, Burma (Myanmar), Central African Republic, Cuba, Democratic Republic of the Congo, Iran, Iraq, Lebanon, Libya, Mali, Nicaragua, North Korea, Russia, Somalia, South Sudan, Sudan, Syria, certain regions of Ukraine (Crimea, Donetsk and Luhansk regions), Venezuela or other country or jurisdiction against which Switzerland, the EU, the US or the UN maintains economic sanctions.

We may conduct any necessary investigations directly or through a third party to verify your identity and eligibility for participation in the Program.

In case local regulations prohibit the Program, participation in the Program and/or prohibit class action waivers, you may not enter the Program.

3.3 Guidelines

The following rules must be observed when participating in the Program and when submitting

  • Works that have already been submitted by another participant of the Program or are already known to the Foundation, its directors, employees, affiliates, and contractors are not eligible for respective Initiatives.
  • Public disclosure of a Work before a report and approval of such disclosure by the Foundation leads to ineligibility for a Reward. Instead, Works should be submitted to: contact@subspace.foundation with a subject including the name of the Initative and a description of the Work or to a respective form on the Website or other circulated form or to any dedicated member of the Foundation through a non-public communication channel.
  • The Foundation, its directors, employees, affiliates, contractors as well as any other persons involved in the Program or the Autonomys Network blockchain (“Network”), directly or indirectly, are not eligible for Rewards.
  • The Foundation’s infrastructure in general, is NOT part of the Program.
  • Submissions not in accordance with a publicly announced Initiative or part of the Program
  • Determinations of eligibility and all terms related to Rewards are at the sole and final discretion of the Foundation.

3.4 Rewards

The determination of a Reward to be allocated will vary depending on variables as determined at the full discretion of the Foundation.

Rewards are allocated in AI3 tokens, stablecoins, merchandise, or other hard and soft goods.

3.5 Legal Information

The Program is an experimental and discretionary reward program aimed at encouraging and rewarding improvement of the Subspace products, the Website and/or the Network. It is not a competition. You should know that the Foundation can cancel the Initiatives and/or the Program at any time and that Rewards are at the sole discretion of the Foundation. Further, the Foundation has the right to exclude individual persons from participation in the Program at its discretion and for any reason, such as violation of these Terms, attempted manipulation, or unauthorized support from third parties. We reserve the right to take action against such individuals and to deny or reclaim any Rewards that have been distributed to such individuals.

You are solely responsible for all direct or indirect taxes, duties, charges, levies, contributions and withholdings or other fees of any kind payable under the laws of any relevant country, as well as all penalties, interest, surcharges and other costs related thereto, imposed on the Rewards.

Finally, any testing and/or reporting of vulnerabilities conducted by a participant must not violate any applicable law or compromise any data not belonging to the participant.

4. No Interaction with Autonomys Network

You understand and agree that the Website is only a graphical interface for displaying publicly available information related to the Network. By accessing or using the Website, you are not interacting with the Network in any way. We do not and cannot control the activity and data on the Network or the activities that users, validators, developers and other third parties may conduct on the Network.

5. Third Party Links

The Website or the Program may contain links to websites and content that is controlled or operated by third parties ("Third Party Links”). The Foundation is providing these Third Party Links to you only for convenience and the inclusion of any Third Party Links on the Website or the Program does not imply any endorsement by the Foundation of the Third Party Links and/or their operators. The Foundation is not responsible for any content contained in or associated with the Third Party Links. If you link to or use such Third Party Links, you do so at your own risk. If you believe that any Third Party Link includes or promotes illegal, harmful, fraudulent, infringing, obscene, defamatory, threatening, intimidating, harassing, hateful, racially, ethnically or otherwise offensive content, please contact us via contact@subspace.foundation so that we can remove any such Third Party Link from the Website or the Program.

6. Intellectual Property Rights

The Website, the Program and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Foundation, its licensors, or other providers of such material and are protected by Swiss and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website or the Program without our prior written consent. The Foundation name, the Foundation logo, and all associated names, logos, product and service names, designs, and slogans are trademarks of the Foundation or its affiliates or licensors. You may not use such marks without the prior written permission of the Foundation. All other names, logos, product and service names, designs, and slogans on our Website or the Program are the trademarks of their respective owners. Under no circumstances does your access or use of the Website or participation in the Program grant you any ownership rights or other interest in any such marks or content on the Website or the Program.

By participating in the Program, you grant the Foundation a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, distribute, modify, run, copy, display, translate, and create derivative works of your submissions for any business purpose in connection with the Program, Subspace products, the Website and/or the Network. You will not be entitled to compensation for any use of the license by the Foundation, or its agents, licensees, or assignees.

7. Disclaimer of Warranties

The access and use of the Website or participation in the Program is made at your own risk. You understand and agree that the Website or the Program is provided on an “as is” and “as available” basis and that the Foundation expressly disclaims all warranties or conditions of any kind, whether express, implied, statutory or otherwise.

Neither the Foundation nor any person associated with the Foundation makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Website or the Program. Without limiting the foregoing, neither the Foundation nor anyone associated with the Foundation represents or warrants that the Website or the Program, their content, or any services obtained through the Website or the Program will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that our Website, the Program or the server that makes it available are free of viruses or other harmful components, or that the Website, the Program or any services or items obtained through the Website or the Program will otherwise meet your needs or expectations.

We do not and cannot control the activity and data on the Network or the activities that users, validators, developers and other third parties may conduct on the Network. You are solely responsible for verifying all information, including that related to the Network, before relying on it and all decisions based on information contained on the Network, the Website or the Program are your sole responsibility and the Foundation shall not be liable for any such decisions.

8. Limitation of Liability

To the fullest extent permitted by law, in no event shall the Foundation, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your access, use, or inability to use, the Website or the Program, any websites linked to it, any content on the Website, the Program or such other websites, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

Further, you understand and agree that neither the smart contracts nor the Autonomys Network Blockchain are under control of the Foundation and the Foundation is not liable for any losses or injury due to vulnerability or any kind of failure of the smart contracts or the Autonomys Network Blockchain, including forks, technical node issues or any other issues having losses or injury as a result.

9. Indemnification

You agree to defend, indemnify, and hold harmless the Foundation, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to (a) your responsibilities or obligations under these Terms; (b) your violation of these Terms or your access or use of the Website or participation in the Program; (c) your violation of any rights of any other person or entity; (d) and any dispute between you and any other person accessing or using the Website or participating in the Program.

By accessing and using the Website or participating in the Program, you consent to all actions that may be taken by us with respect to your information in compliance with the Privacy Notice. These Terms incorporate by reference our Privacy Notice.

11. Feedback

The Foundation appreciates and encourages you to provide feedback on our Website or the Program. If you provide feedback, you agree that the Foundation is free to use it and may allow others to use it without any restriction or compensation to you. 12. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

13. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the substantive laws of Switzerland. The application of the United Nations Convention on Contracts for the International Sale of Goods shall be excluded.Any dispute arising out of or in conjunction with these Terms shall be submitted to the exclusive jurisdiction of the ordinary courts of the city of Zug, Switzerland.
